Thomas F. Helms Jr.


Thomas F. Helms, Jr. has been Chairman since 2006 and previously served as President and non-Executive Chairman. In 1988, he formed our predecessor company to acquire certain loose leaf chewing tobacco assets of Lorillard, Inc. His executive experience includes serving as President and CEO of Culbro Corporation’s smokeless tobacco division. From 1979 to 1982, Mr. Helms was General Manager of a division of Revlon, Inc., after holding marketing and sales positions in various Revlon divisions over 15 years.

Lawrence S. Wexler

President and CEO

Lawrence S. Wexler is President and Chief Executive Officer of Turning Point Brands. During his 13 years with the company, Mr. Wexler served in several executive roles for the company’s operating subsidiaries, including Chief Executive Officer and Chief Operating Officer of National Tobacco Company. He is also a board member of the Tobacco Merchants Association. Prior to joining the company, Mr. Wexler spent five years as a consultant to a number of emerging market, communication and financial companies, advising on marketing, financial and strategic matters. Prior to that experience, he served as Senior Vice President Finance, Planning and Sales for Phillip Morris, USA, where he spent 21 years in a number of key leadership roles in Finance, Marketing, and Sales. He holds a B.S. from Yale University and an M.B.A. from Stanford Graduate School of Business.

Gregory H. A. Baxter


Gregory H.A. Baxter brings significant experience to Turning Point Brands in corporate investments, mergers and acquisitions. A director since 2006, Mr. Baxter has worked as an independent finance consultant primarily for middle-market corporations and closely held businesses and has served in various corporate finance leadership positions. As Managing Director at Dias & Altschul Capital Management and member of its Investment Committee through 2005, he brought investment products to prospective clients. For eight years, he directed and advised on cross-border mergers and acquisitions for SG Cowen Securities Corporation and Rothschild Inc., covering a wide range of industries from food, retail, consumer products, transportation, oil and gas and industrial and engineering companies. He was a founding member of SW Capital, an M&A boutique specializing in middle-market transactions for Fortune 500 companies, and served as Vice President at Irving Trust Company, providing corporate finance advice to bank clients. In 2015, he was elected as a director at Special Diversified Opportunities, Inc. Mr. Baxter holds a B.A. from the University of Victoria in Canada and an M.B.A. from the Ivey Business School in London.

H. C. Charles Diao


A director of our company since 2012, H.C. Charles Diao provides experience from serving board directorships and senior management positions. As Vice President of Finance and Corporate Treasurer of Computer Science Corp. since 2012, he managed global treasury operations, corporate finance and capital markets, corporate development and M&A, pension plans and risk management. Mr. Diao founded and led the strategic advisory firm Diao & Co., LLC, and was Chief Investment Officer for an affiliate that managed alternative investments for institutional family offices. He served as Senior Managing Director at Bear Stearns and was a member of its Commitment Committee and IPO Committee. A member of the board of directors of Media General Inc. since 2012, Mr. Diao has served as Chairman of its Nominating and Governance Committee and is a member of its Audit and Finance Committee. He holds a B.S.E. from Princeton University’s Engineering School and an M.B.A. from Harvard Business School.

David Glazek


A director of our company since 2012, David Glazek brings significant finance and private equity experience to Turning Point Brands. Since 2008, Mr. Glazek has been a Partner of Standard General L.P., where his responsibilities include investment research and analysis and helping companies with operational, transactional, financing, and legal needs. From 2000-2003 and 2006-2008, he was an investment banker at Lazard Freres & Co., where he focused on mergers and acquisitions and corporate restructurings. He has also worked at the Blackstone Group. Mr. Glazek is currently a Director of American Apparel, Standard Carbon, LLC and a Board Observer of Upstate Power Producers, Inc. He holds a J.D. from the Columbia Law School and a B.A. from the University of Michigan.

George W. Hebard III


A director of our company since 2015, George W. Hebard III brings extensive experience in private equity and equity-related investments and depth in analyzing investment and acquisition opportunities. Mr. Hebard is Managing Director of New York investment firm Barington Capital Group and currently serves as a director of publicly traded Ebix, Inc. He served as director at Enzon Pharmaceuticals, Inc., where he currently is Interim Principal Executive Officer and Interim Chief Operating Officer. Previously, Mr. Hebard was a Managing Director at investment firms Icahn Capital L.P., Blue Harbour Group, and Ranger Partners. Mr. Hebard was an Associate at Icahn Associates Corp. from 1998 to 2002. He has an M.B.A. from INSEAD and an A.B. in Executive Economics from Princeton University.

Arnold Zimmerman


Arnold Zimmerman has served in executive leadership and board positions for a number of consumer product companies. A director of our company since 2013, Mr. Zimmerman has been President of Catchers Mitt LLC, a marketing consulting company focused on personal care products, since 2007. For the previous five years, he was the Chairman and CEO of 291 Digital LLC, a graphics imaging and printing company, and was Chairman, President and CEO of AM Products Company from 1999 to 2002. He held a number of senior executive positions during a 25-year career with Revlon-North America. Mr. Zimmerman earned a B.A. from the University of Miami.
